Setting up a potential Supreme Court showdown, the US Court of Appeals for the 5th Circuit struck down an SEC-approved Nasdaq rule requiring corporate boards of the over 3,000 companies on the exchange to implement diversity quotas on the basis of race, sex, sexual orientation, and gender identity. The 51-page opinion found the rule violated the Securities Exchange Act of 1934, exceeding the authorities of the Commission, which is meant to protect “investors and the American economy from speculative, manipulative, and fraudulent practices.” And while the rule is manipulative, the decision seems obvious: the SEC exists to regulate the exchange of securities, not board members’ exchange of bodily fluids.
